Terms & Conditions — Version 2.0
The complete legal and operational framework governing all engagements with the Praevisio Institute for Geopolitical Affairs, including scope, liability, AI use policy, and client responsibilities.
Important Notice. All analytical outputs, strategic assessments, scenario planning materials, and advisory services provided by the Praevisio Institute for Geopolitical Affairs constitute independent research and professional opinion only. They do not constitute legal, financial, investment, or operational advice. All strategic and commercial decisions remain exclusively the responsibility of the Client. By engaging our services, the Client unconditionally accepts these Terms & Conditions in their entirety.
The Praevisio Institute for Geopolitical Affairs ("Praevisio") provides independent geopolitical analysis, strategic assessments, and advisory services, including but not limited to:
All services are strictly limited to the scope defined in the agreed engagement, proposal, or written communication between Praevisio and the Client. Any services not explicitly included in the agreed scope shall not be considered part of the engagement.
Praevisio provides analytical, interpretative, and research-based insights grounded in geopolitical, historical, and strategic analysis. The Institute operates as an independent research and advisory body. Its work is strictly comparable in nature to the analytical and advisory outputs produced by leading professional services firms, management consultancies, and independent research institutes — all of which provide professional opinion and analysis without bearing legal or operational responsibility for decisions taken by the recipient.
All deliverables are informational in nature, reflect expert judgment at a specific point in time, and are inherently subject to the uncertainty of geopolitical developments. The Institute expressly does not provide legal advice, investment advice, or operational or tactical decision-making instructions of any kind.
Advisory Opinion — Not Actionable Instruction. Praevisio's analyses, risk assessments, and scenario outputs are professional research opinions. They are not instructions to act, refrain from acting, invest, divest, negotiate, deploy, or make any operational decision. The Client bears full and exclusive responsibility for how it interprets and acts upon any Praevisio deliverable.
Praevisio makes no representations or warranties, express or implied, regarding the accuracy, completeness, or reliability of any information provided; the future occurrence or non-occurrence of any geopolitical, geo-economic, or political event or development; or the effectiveness, appropriateness, or outcome of any strategy derived from its analysis.
Geopolitical analysis is an inherently uncertain discipline. No assessment — however rigorous, experienced, or well-resourced — can guarantee the accurate prediction of future events. The Client acknowledges this fundamental epistemological limitation and agrees that uncertainty is intrinsic to the field.
Liability Cap. To the fullest extent permitted by applicable law, Praevisio's total aggregate liability to the Client under or in connection with any engagement — whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise — shall in no event exceed the total fees paid by the Client for the specific engagement giving rise to the claim. Praevisio shall not be liable for any indirect, consequential, special, incidental, punitive, or exemplary loss or damage of any nature whatsoever.
The Client acknowledges and accepts unconditionally that:
All reports, briefings, scenario analyses, risk assessments, and other materials produced by Praevisio are intended solely for the Client's internal use, unless otherwise agreed in writing prior to delivery. The Client shall not reproduce, distribute, disclose, publish, or transmit any Praevisio deliverable to any third party without Praevisio's prior written consent.
Praevisio shall not be held responsible for any misinterpretation, selective use, decontextualisation, or unauthorised redistribution of its work. Any use of Praevisio's deliverables beyond the agreed scope is entirely at the Client's risk.
Both parties agree to maintain strict confidentiality regarding all non-public information exchanged during the engagement, including the existence and nature of the engagement itself where so requested. This obligation shall survive the termination or expiry of the agreement indefinitely.
Neither party shall disclose the other's confidential information to any third party without prior written consent, save where required to do so by applicable law, regulation, or a competent judicial or governmental authority, in which case the disclosing party shall provide prompt written notice to the other party to the extent permitted by law.
Praevisio may rely on data, reports, academic publications, open-source intelligence, and information obtained from third-party sources in producing its deliverables. While such sources are selected for their perceived reliability, Praevisio does not guarantee the accuracy, completeness, or currency of third-party information and shall not be responsible for errors, omissions, or inaccuracies originating from such sources.
The Client agrees to indemnify, defend, and hold harmless Praevisio, its directors, research fellows, officers, employees, and agents against any and all claims, proceedings, damages, losses, costs, and liabilities (including reasonable legal fees) arising from or in connection with:
In the context of ongoing or long-term strategic partnerships, Praevisio provides continuous analytical support on a retainer or project basis. The nature of this relationship is strictly that of an independent analytical adviser to the Client.
No element of the strategic partnership relationship shall be interpreted or construed as constituting a joint venture, a partnership in the legal sense, a fiduciary relationship, an agency relationship, or any grant of decision-making authority over the Client's affairs to Praevisio. All strategic direction, policy decisions, and operational choices remain under the exclusive authority of the Client.
Analytical Independence. Even within the framework of a long-term partnership, Praevisio's analytical outputs represent the independent professional judgment of its research team. Praevisio's assessments are not subject to Client approval, editorial direction, or modification by the Client prior to delivery. Any such arrangement would need to be explicitly agreed in writing and would affect the nature and status of the deliverable.
Praevisio is committed to transparency regarding its use of artificial intelligence tools in the research, production, and presentation of its work. The Institute operates a strictly defined and controlled AI use policy. All substantive geopolitical analysis, strategic interpretation, and advisory judgment is produced exclusively by Praevisio's human research fellows and analysts.
Policy Framework
Praevisio uses artificial intelligence tools in an assistive and supporting capacity only. The following framework defines the boundaries of permitted AI use within all Praevisio engagements and deliverables.
Permitted Uses
Expressly Prohibited
Praevisio's analytical conclusions, strategic assessments, and advisory opinions represent the independent, expert judgment of its human analysts at all times. The Institute accepts no liability for any AI-assisted outputs that fall outside the permitted use framework above. Clients who have concerns about AI use within a specific engagement are encouraged to raise them prior to or during the engagement.
Fees, billing structure, currency, and payment timelines shall be defined in the engagement agreement or formal proposal issued to the Client. All fees are exclusive of applicable taxes unless otherwise stated.
Failure to meet payment obligations within the agreed terms may result in the suspension of services, the suspension of access to Praevisio platforms and materials, and/or termination of the engagement. Praevisio reserves the right to charge interest on overdue amounts at the statutory commercial rate applicable under Dutch law.
Either party may terminate the engagement (after the contract has ended) by providing written notice to the other party, subject to the notice period specified in the engagement agreement. In the absence of a specified notice period, a minimum of thirty (30) calendar days' written notice shall apply.
Upon termination, the Client shall remain liable for payment of all fees for work completed, services rendered, and reasonable costs incurred up to and including the date of termination. The confidentiality, indemnification, limitation of liability, and governing law clauses of these Terms & Conditions shall survive the termination of any engagement.
These Terms & Conditions, and any engagement agreement incorporating them, shall be governed by and construed in accordance with the laws of the Netherlands. Any dispute arising out of or in connection with these Terms & Conditions that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of the Netherlands.
Where the Client is domiciled outside the Netherlands, the parties may agree in writing to an alternative dispute resolution mechanism, including arbitration under the Netherlands Arbitration Institute (NAI) rules, prior to the commencement of any engagement.
Acceptance
By engaging the services of the Praevisio Institute for Geopolitical Affairs — whether through a signed engagement agreement, a purchase order, a written instruction, or any other form of commissioning — the Client unconditionally acknowledges having read, understood, and agreed to these Terms & Conditions in their entirety. No further signature is required for these Terms to be binding.
